Terms of Service

Effective date: June 21, 2025

These Terms of Service ("Terms") govern your use of the BreezeBiz mobile application and website (collectively, the "Service") provided by BreezeBiz ("we", "our", or "us"). By downloading, installing, or using the App, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years of age (or 16 in the EEA) to use the Service. By using the Service, you represent that you meet this requirement. If you are using the Service on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

BreezeBiz is a mobile application for Android that allows users to create and manage professional invoices, proposals, clients, transactions, and related business documents. The Service includes:

  • A Free Plan with core features, available at no cost with no expiry
  • A Pro Plan with additional features available via a paid subscription

Features, pricing, and availability may change at any time. We will provide reasonable notice for material changes.

3. Accounts

3.1 Registration

You may use the App as a guest (data stored locally only) or create an account using an email address and password, or via Google Sign-In. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

3.2 Accuracy

You agree to provide accurate and complete information when registering and to keep it up to date. We reserve the right to suspend or terminate accounts with inaccurate information.

3.3 Account Security

You are solely responsible for your account security. Notify us immediately at support@breezebiz.biz if you suspect unauthorised access to your account. We are not liable for losses arising from unauthorised use of your account.

3.4 Account Deletion

You may delete your account at any time from within the App (Profile → Delete Account). Deletion permanently and irreversibly removes your account and all associated cloud data. We cannot recover deleted accounts or data.

4. Free Plan

The Free Plan is provided at no charge and includes, without limitation:

  • Unlimited invoice creation
  • PDF export with no watermarks
  • Client and contact management
  • Basic invoice layouts and themes
  • Local data storage on your device
  • Basic financial reports

We reserve the right to modify the features included in the Free Plan with reasonable notice. We will not retroactively remove core functionality already in use without notice.

5. Pro Plan and Subscriptions

5.1 Pro Features

The Pro Plan includes all Free Plan features plus:

  • Cloud backup and sync across devices
  • All premium invoice themes
  • Proposals and contract templates
  • Advanced reports and analytics
  • Priority support

5.2 Pricing

Pro is available as a monthly subscription (USD $3.99/month) or an annual subscription (USD $29.99/year). Prices are inclusive of any applicable taxes unless otherwise stated. Pricing may vary by region as displayed in the Google Play Store at the time of purchase.

5.3 Billing and Renewal

Subscriptions are billed through Google Play Billing. Your subscription automatically renews at the end of each billing period unless cancelled at least 24 hours before the renewal date. Renewal charges are applied to your Google Play account.

5.4 Cancellation

You may cancel your Pro subscription at any time through the Google Play Store. Cancellation takes effect at the end of the current billing period — you retain Pro access until then. We do not provide refunds for unused portions of a billing period, except where required by applicable law.

5.5 Refunds

Refund requests are handled by Google Play in accordance with its refund policy. For exceptional circumstances, contact us at support@breezebiz.biz and we will work with you in good faith.

5.6 Free Trial

We may offer free trial periods for the Pro Plan. Trials automatically convert to a paid subscription at the end of the trial period unless cancelled beforehand. Details of any trial period will be clearly displayed before you subscribe.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Create fraudulent invoices or documents with intent to deceive
  • Impersonate any person or entity
  • Upload or transmit content that is unlawful, harmful, defamatory, or infringing
  • Attempt to reverse-engineer, decompile, or extract the source code of the App
  • Interfere with or disrupt the integrity or performance of the Service or related systems
  • Access the Service through automated means (bots, scrapers) without our written permission
  • Use the Service to send unsolicited commercial communications

We reserve the right to suspend or terminate access for any violation of these rules without prior notice.

7. Your Content

7.1 Ownership

You retain full ownership of all data, documents, images, and content you create or upload within the App ("Your Content"). We claim no ownership over Your Content.

7.2 Licence to Us

By enabling cloud sync, you grant us a limited, non-exclusive, royalty-free licence to store, transmit, and process Your Content solely for the purpose of providing the cloud sync feature. This licence terminates when you disable sync or delete your account.

7.3 Your Responsibility

You are solely responsible for the accuracy, legality, and appropriateness of Your Content. We do not review the content of invoices, proposals, or client data you create. You agree not to use the App to create fraudulent or deceptive business documents.

8. Intellectual Property

The App, including its design, code, graphics, trademarks, and branding, is owned by BreezeBiz and protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the App beyond the limited licence to use it as described herein.

You may not copy, modify, distribute, sell, or create derivative works from any part of the App without our express written consent.

9. Third-Party Services

The Service integrates third-party services including Firebase (Google LLC), RevenueCat, Inc., and Google Play Billing. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

We do not warrant that the App will be available at all times, that it will be free of errors or viruses, or that any data stored will not be lost. You are responsible for maintaining backups of Your Content.

BreezeBiz is a tool to assist with document creation. We are not a legal, accounting, or tax advisory service. The documents created within the App are for your convenience and should be reviewed by a qualified professional where required by law.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BREEZEBIZ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $10.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless BreezeBiz and its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your violation of these Terms.

13. Termination

13.1 By You

You may stop using the Service and delete your account at any time. Cancellation of your Pro subscription must be done through Google Play.

13.2 By Us

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law, or if the Service is discontinued. In the event of a termination not caused by your breach, we will provide reasonable prior notice where practicable.

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections 7.1, 8, 10, 11, 12, and 15 survive termination. If you have an active Pro subscription at the time of termination caused by us (not your breach), we will provide a pro-rata refund.

14. Changes to the Service and Terms

We may update the Service or these Terms at any time. For material changes to these Terms, we will notify you via email or an in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

15. Governing Law and Disputes

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the competent courts of the jurisdiction in which we operate.

If you are a consumer in the EU or UK, nothing in these Terms affects your rights under mandatory local consumer protection laws.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BreezeBiz regarding the Service and supersede all prior agreements and understandings.
